These Terms of Use (the "Terms") govern your access to and use of the Ashk mobile application, the website ashk.io, and all related services (collectively, the "Service"). By creating an account, downloading the application, or otherwise using the Service, you confirm that you have read, understood, and agreed to these Terms.
TO CANCEL YOUR SUBSCRIPTION, IF YOU PURCHASED VIA THE WEBSITE, YOU CAN CANCEL EITHER (A) ON THE SETTINGS PAGE BY TAPPING THE "CANCEL" BUTTON AND CONFIRMING (LOG IN WITH YOUR REGISTERED EMAIL VIA THE LINK SENT TO YOU AFTER SUBSCRIPTION), OR (B) BY EMAILING info@ashk.io WITH THE SUBJECT "CANCEL MY SUBSCRIPTION" AND INCLUDING THE EMAIL ADDRESS ON YOUR ACCOUNT. IF YOU PURCHASED IN THE MOBILE APP, USE YOUR APPLE APP STORE OR GOOGLE PLAY ACCOUNT SETTINGS AT LEAST 24 HOURS BEFORE THE END OF THE FREE TRIAL OR THE CURRENT BILLING PERIOD.
1. Acceptance of Terms and Parties
1.1. These Terms govern the relationship between you, the user ("you" or "User"), and the Company acting as your contracting party and Merchant of Record, as determined by your region under Section 1.5 below (the "Company"), except where Section 6.2 provides otherwise for a specific payment channel. The Terms apply to your use of the Ashk mobile application, website, and other services offered under the Ashk brand.
1.2. By accessing or using the Service, you confirm that you are at least 18 years old, have the legal capacity to enter into binding agreements, and agree to these Terms in full. The Service is strictly for adults aged 18 and over.
1.3. We may revise these Terms at any time. Material changes will be communicated via in-app notification, email, or website banner. Your continued use of the Service after a revision constitutes acceptance of the revised Terms.
1.4. The Service is provided "as is" and "as available." Your use is subject to the disclaimers and limitations in Sections 2, 8, and 9.
1.5. Seller Information / Merchant of Record. The contracting party and Merchant of Record for the Service depends on your region: (a) if you are located in the United States or any other region, the contracting party and Merchant of Record is Boros Studio LLC (1111b South Governors Avenue, STE 7399, Dover, DE 19904, United States); and (b) if you are located in the European Union / European Economic Area, the contracting party and Merchant of Record is Oha Tech LTD (Promachon Eleftherias 1, 4103, Limassol, Cyprus).
References in these Terms to the "Company", "we", "us", or "our" refer to whichever of the above entities is your contracting party under this Section 1.5. "Ashk" refers solely to the brand and application name under which the Service is offered and does not have separate legal personality.
For the purpose of determining which entity is your contracting party and Merchant of Record under this Section, your region is determined based on information available to us at the time of purchase, which may include your billing details, the country associated with your payment method or app store account, and/or your IP address.
1.6. Role of Lina (Developer / Technical Provider). LİNA STUDİO YAZILIM REKLAM TEKNOLOJİLERİ ARAŞTIRMA GELİŞTİRME VE PAZARLAMA TİCARET ANONİM ŞİRKETİ ("Lina") is an independent service provider and content licensor that develops the software infrastructure of the Ashk application, ensures its technical operation, and produces the in-app content. Lina provides technical services to, and licenses content to, the Company, and does not enter into any direct sales, contractual, or payment relationship with end users; it does not invoice end users or collect payments from them. Lina acts solely as the technical service provider, content provider, and local technical representative, and does not have the status of Merchant of Record.
2. Important Disclaimer — Nature of the Service
2.1. Ashk provides AI-generated characters and conversations. The AI Companions are artificial intelligence characters designed to simulate human-like interactions. They do not possess genuine emotions, intentions, consciousness, or the ability to fulfill promises in the physical world.
2.2. Conversations are fictional. Any elements within conversations that may resemble reality — including but not limited to offers of real-life meetings, promises of tangible outcomes, declarations of love, romantic commitments, or claims of personal experience — are entirely fictional. They are generated by an AI model and should not be taken seriously. The Company assumes no responsibility for any confusion or emotional reliance arising from the fictional nature of these interactions.
2.3. Not a substitute for professional services. Ashk is not a healthcare provider, mental health service, psychological counseling service, medical device, or substitute for professional advice of any kind. The Service does not provide therapy, diagnosis, or treatment. If you are experiencing emotional distress, suicidal thoughts, or mental health concerns, please contact a qualified healthcare professional or local emergency services immediately.
2.4. No guarantee of accuracy. AI-generated content may contain errors, inaccuracies, or content that does not reflect real-world facts. Do not rely on AI Companion responses for medical, legal, financial, or other professional decisions.
2.5. User responsibility. You acknowledge that you are an adult capable of distinguishing between AI-generated fiction and reality. Your use of the Service is voluntary and at your own risk.
3. Account Registration
3.1. To use the full Service, you must create an account by providing an email address, device identifier, or social login.
3.2. You agree to provide accurate registration information and keep it current. You are responsible for all activity under your account.
3.3. You may delete your account at any time via the Service settings or by contacting info@ashk.io. Account deletion is subject to legal retention obligations described in our Privacy Policy.
3.4. We reserve the right to suspend or terminate accounts that violate these Terms.
4. The Service
4.1. What Ashk provides. Ashk offers an AI companion mobile app and web service where users can browse pre-built characters, create custom AI characters, exchange text-based messages, send virtual gifts, view AI-generated images, use voice features, and access additional functionality through subscription or in-app purchases.
4.2. Free vs. premium. Core functionalities are available for free with daily message limits. Subscriptions and in-app purchases unlock extended features (more daily messages, premium content, custom character creation, voice calls, etc.).
4.3. Service modifications. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.
4.4. Service availability. We aim for high uptime but do not guarantee uninterrupted access.
5. Third-Party Content, Intellectual Property and User Content
5.1. Our intellectual property. The Ashk brand, application design, character designs, AI training data, prompts, software, and all related materials are owned by the Company or licensed to it. You may not copy, modify, distribute, or reverse-engineer any part of the Service without prior written permission.
5.2. User-generated content. When you create a custom character, send messages, or otherwise submit content ("User Content"), you grant the Company a worldwide, royalty-free, perpetual, sublicensable, and transferable license to use, store, reproduce, and process such content for the purpose of providing and improving the Service.
5.3. AI model improvement. Aggregated and anonymized user interactions may be used to improve our AI models and Service. Aggregated and anonymized data does not constitute personal data under applicable data protection law.
5.4. Third-party advertisements. The Service may display third-party advertisements. We are not responsible for the content of third-party ads.
6. Payments, Subscriptions and Refunds
6.1. Commercial roles of the parties. The Ashk application and its in-app content are developed and technically maintained by Lina (the technical provider and developer; see Section 1.6). Lina does not directly invoice end users or collect payments from them. All payment collection, billing, and subscription management are carried out by the Merchant of Record for the channel through which you access the Service — Apple, Google, the applicable web Merchant of Record set out in Section 1.5 (Boros Studio LLC or Oha Tech LTD, depending on your region), or Outpost for the Outpost checkout channel — as further described in Section 6.2 and Section 13.
6.2. Merchant of Record by channel.
(a) Apple App Store channel. For subscriptions and in-app purchases made via the Apple App Store, the Merchant of Record is Apple Distribution International Ltd. (Hollyhill Industrial Estate, Hollyhill, Cork, Ireland). All payments, billing, and refunds are subject to Apple's terms and conditions. To cancel, use your Apple ID account settings on your device. For purchases made via the Apple App Store, you acknowledge and agree that these Terms are concluded between you and the Company only, and not with Apple Inc. or its subsidiaries. Apple Inc. and its subsidiaries shall be third-party beneficiaries of these Terms and shall have the right to enforce these Terms against you as such third-party beneficiaries upon your acceptance of these Terms.
(b) Google Play channel. For subscriptions and in-app purchases made via Google Play, the Merchant of Record is Google Commerce Limited (Gordon House, Barrow Street, Dublin 4, Ireland). All payments, billing, and refunds are subject to Google Play's terms. To cancel, use your Google Play account settings.
(c) Website / web payment channel. For subscriptions or one-time purchases made via Ashk or related funnel pages, the Merchant of Record is the entity applicable to your region as set out in Section 1.5 (Boros Studio LLC or Oha Tech LTD; see also Section 13). Payments are processed on our behalf by one or more third-party payment service providers, which may include Stripe Payments Europe Ltd. (Ireland) and other providers we may engage from time to time.
(d) Outpost checkout channel. For certain subscriptions or one-time purchases made via ashk.io or related pages, the Merchant of Record and seller of record is Outpost Technologies Ltd., a company registered in England and Wales (company number 13465097; see Section 13). In this channel, the Company acts as a Vendor whose Product is resold to you by Outpost in Outpost's own name. Your purchase, including billing, payment, taxes, invoicing, and refunds, is governed by the Outpost Merchant of Record Terms, available at https://outpost.ai/mor-terms. In the event of a conflict between these Terms and the Outpost Merchant of Record Terms with respect to payment, billing, taxes, refunds, or consumer rights for purchases made through the Outpost channel, the Outpost Merchant of Record Terms prevail. Questions relating to billing, payment, or refunds for such purchases should be directed to Outpost; questions relating to the functionality or use of the Service should be directed to the Company.
6.3. Subscription model. Subscriptions auto-renew at the end of each billing period unless cancelled. The billing period and price are clearly shown at the time of purchase.
6.4. Free trial. If we offer a free trial, you will be charged at the end of the trial period unless you cancel at least 24 hours before the trial ends.
6.5. Cancellation.
- Mobile (Apple / Google): Cancel via your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period.
- Web (website payment channel): You can cancel either (a) on the settings page by tapping the "Cancel" button, after logging in with your registered email (for example via the link sent to you after subscription), where you may provide brief feedback and then confirm the cancellation, or (b) by emailing info@ashk.io with the subject "Cancel my subscription" and including the email address on your account. Cancellation will be processed within one business day.
- Outpost checkout channel: For purchases made through the Outpost channel, cancellation and refunds are handled in accordance with the Outpost Merchant of Record Terms (see Section 6.2(d)); you may also contact info@ashk.io and we will assist in directing your request.
6.6. Refunds.
- Mobile (Apple / Google): Refund requests are handled directly by Apple or Google under their respective refund policies. The Company does not process mobile refunds.
- Web (website payment channel): Subscription fees and one-time purchases are non-refundable except where required by mandatory consumer law (for example, the EU 14-day right of withdrawal, where applicable — see Section 6.8). One-time gem purchases are non-refundable once gems are credited to your account.
- Outpost checkout channel: Refunds for purchases made through the Outpost channel are governed by the Outpost Merchant of Record Terms (see Section 6.2(d)).
- Defective service: If you experience a material defect in the Service, contact info@ashk.io. We will investigate and, where appropriate, provide a refund or service credit.
6.7. Saved Payment Method, One-Time Purchases and Upsells.
(a) Authorization to store and reuse your card. When you provide a payment card or other payment credential to start a subscription or to make any purchase via our website payment channel, you authorize the Company and our payment service provider(s) (which may include Stripe and other providers we may engage from time to time) to securely store ("vault") your payment credential, and to charge the same stored credential for: (i) recurring subscription renewals (where applicable); (ii) one-time purchases initiated by you within the Service, including but not limited to gem packages, credit top-ups, character pack unlocks, premium feature unlocks, voice-call minutes, image- or video-generation credits, special offers, upsells, and other in-app or in-web add-on purchases; (iii) processing refunds back to the same payment method.
(b) One-click / accelerated checkout. Once you have a saved payment method on file, you may be presented with one-click or accelerated checkout flows for future purchases. Each such purchase will be clearly described before you confirm it, including the item description, the amount in your local currency, and the payment method that will be charged. By tapping "Confirm Purchase," "Buy Now," or any equivalent confirmation control, you authorize the charge to your saved payment method for that specific transaction.
(c) Upsells and post-purchase offers. You acknowledge that, from time to time, the Service may present discounted or limited-time offers ("upsells") after an initial purchase or during your use of the Service. Any such offer that results in a charge will require an affirmative confirmation action from you (tap, click, or equivalent) prior to charging your saved payment method. We will not charge your saved payment method for upsells or one-time purchases without such confirmation.
(d) Removing your saved payment method. You may request removal of your saved payment method at any time by contacting info@ashk.io. Removal will prevent future charges via the website payment channel. Subscriptions billed via the Apple App Store or Google Play are managed separately under those platforms' payment methods.
(e) Card network compliance. This authorization is provided to comply with applicable card network rules (Visa, Mastercard, American Express and similar) regarding stored credentials, cardholder-initiated transactions, and one-click purchases. You agree that this clause, together with your in-purchase confirmation actions, constitutes your express consent to such future charges within the scope described above.
6.8. EU 14-day right of withdrawal. Consumers in the European Union have the right to withdraw from a contract within 14 days of purchase without giving any reason, provided the service has not yet been fully performed. To exercise this right, contact info@ashk.io within 14 days of purchase. Note: by purchasing access to digital content and beginning to use the Service, you may waive this right under applicable law.
6.9. Taxes. Prices may include or exclude applicable taxes (VAT, sales tax, etc.) depending on your jurisdiction and the channel.
7. User Representations, Restrictions, Prohibited Content & Child Safety
7.1. You represent that:
- You are at least 18 years of age.
- You have the legal capacity to enter into these Terms.
- You will use the Service only for lawful, personal, non-commercial purposes.
- You will not attempt to bypass content filters, generate prohibited content, or use the Service to harm others.
7.2. Prohibited Content. You agree not to use the Service to generate, request, upload, or share content that:
- Sexualizes, depicts, or describes minors (anyone under 18) in any way (see Section 7.3).
- Depicts rape or sexual activity presented as non-consensual.
- Sexually or defamatorily depicts or impersonates real, identifiable individuals (including public figures) without consent (e.g., "deepfakes").
- Facilitates, promotes, or instructs serious crimes, human trafficking, or terrorism.
- Depicts extreme violence or gore intended to shock, or glorifies violence.
- Promotes, encourages, or instructs self-harm or suicide.
- Involves bestiality or necrophilia.
- Incites hatred or violence against protected groups. You also agree not to: attempt to bypass content-moderation systems; reverse-engineer, scrape, or harvest data from the Service; use the Service for commercial resale or to train competing AI models; or impersonate the Company, other users, or third parties.
7.3. Child Safety — Zero Tolerance (CSAE). The Company enforces a zero-tolerance policy toward child sexual abuse and exploitation (CSAE). The prohibition in Section 7.2 applies to all content whether real, fictional, illustrated, or AI-generated — fictional or AI-generated depictions of minors are still strictly prohibited. We use automated filtering (including model-level safety controls and a Safe Mode), prompt/content blocking, and human review to prevent such content. We preserve relevant data and report apparent child sexual abuse material to the appropriate authorities as required by law, including the National Center for Missing & Exploited Children (NCMEC), and cooperate with law enforcement.
7.4. What is allowed. Consensual, fictional adult roleplay and mature themes between adult characters are part of the Service and are permitted, subject to the prohibitions above and applicable law.
7.5. Reporting & Enforcement. Report prohibited content via in-app tools or report@ashk.io. Depending on severity, violations may result in content removal, feature restriction, or immediate account suspension or termination without refund. Serious violations (e.g., CSAE) result in immediate termination and reporting to authorities.
8. Disclaimer of Warranties
8.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
8.2. WE DO NOT WARRANT THAT (i) THE SERVICE WILL MEET YOUR NEEDS, (ii) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, (iii) ANY SPECIFIC RESULT OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE, OR (iv) AI-GENERATED CONTENT WILL BE FACTUALLY CORRECT OR CONSISTENT.
8.3. These limitations apply only to the maximum extent permitted by applicable law and do not affect mandatory consumer protection rights.
9. Limitation of Liability
9.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
9.2. THE COMPANY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (USD 100), WHICHEVER IS LESS.
9.3. These limitations apply even if the Company has been advised of the possibility of such damages, and even if any remedy fails of its essential purpose.
9.4. Emotional reliance. You acknowledge and agree that, given the AI-fictional nature of the Service (Section 2), the Company shall not be liable for any emotional, psychological, or relational consequences arising from your interactions with AI Companions.
10. Indemnification
You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claim, damage, loss, or expense (including reasonable attorney fees) arising out of (i) your breach of these Terms, (ii) your User Content, or (iii) your violation of applicable law or third-party rights.
11. Protection of Personal Data
11.1. We process personal data in accordance with our Privacy Policy, available at ashk.io/privacy, which is incorporated into these Terms by reference.
11.2. By using the Service, you consent to the data practices described in the Privacy Policy.
11.3. You have rights under applicable data protection law (such as the EU General Data Protection Regulation and the California Consumer Privacy Act / CPRA), including the right to access, rectify, delete, restrict, or object to the processing of your personal data. Submit requests to info@ashk.io.
12. General Provisions
12.1. Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full effect.
12.2. Governing law and jurisdiction. These Terms, and all non-contractual obligations arising in connection with them, are, as a rule, governed by the laws of England and Wales. Any disputes arising out of or in connection with these Terms are subject to the jurisdiction of the courts of England. The foregoing does not limit any mandatory consumer rights you may have under the law of the country in which you reside, nor your right to bring proceedings before the consumer courts or bodies of your country of residence.
12.3. Complaints and dispute resolution. You may submit complaints about the Service to info@ashk.io or through the in-app support channels. If a complaint cannot be resolved, you retain the right to pursue any legal remedies available under the legislation of the country in which you reside.
12.4. Entire agreement. These Terms, together with the Privacy Policy and any in-app purchase terms, constitute the entire agreement between you and the Company.
12.5. Assignment. You may not assign these Terms. The Company may assign these Terms in connection with a merger, acquisition, or sale of assets.
12.6. No waiver. A failure to exercise any right under these Terms shall not constitute a waiver of that right.
